1. The service
MailX is a secure document sending service: the sender shares encrypted files through a time-limited link, the recipient verifies with a code, and every opening or download is recorded in an audit log. Dataryx Solutions Inc. (“Dataryx”, “we”) operates it.
These terms cover the shared cloud service (the “SaaS”). The Enterprise offer, installed at the customer’s site, is governed by a separate agreement.
2. The account and the primary administrator
The person who creates the organization becomes its primary administrator. They state that they have the authority to bind the organization, they manage the account, the users and the subscription, and they are responsible for how it is used.
You must provide accurate information, protect your sign-in methods and tell us without delay of any unauthorized use. Each authorized person uses their own access.
3. Subscription and restricted mode
An active subscription is required to send documents. Without a subscription, or when the subscription ends, the organization moves to restricted mode: it can still view and download what is still there, but no new send is possible. A new subscription restores sending.
Dataryx does not delete data for a commercial reason, such as an expired or unpaid subscription. Only the retention rules in section 4, deletion requested by the organization and the law apply.
Prices, plans and billing terms are those in force when you subscribe, shown on the site or in the portal.
4. Retention and downloads
It is up to you to keep your own copy of the documents you need. Audit logs and metadata follow the period stated in the privacy policy.
- a send is kept for 14 days at most;
- each file can be downloaded at most 3 times per recipient;
- when that period ends, files are erased from storage, with no recycle bin and no earlier version: they cannot be recovered.
5. Acceptable use
You agree not to use MailX to:
- send illegal content, or content you have no right to share;
- send malware, or try to get around the service’s security measures;
- send unsolicited bulk messages or impersonate another person.
Every file is scanned by antivirus (ClamAV) before delivery, and an infected file is blocked. Dataryx suspends an account only in case of abuse, for example illegal content, malware or a breach of the service’s security, and notifies the primary administrator where possible. The suspension is lifted as soon as the abuse has stopped.
6. Going over the plan
We do not cut off the service when the plan is exceeded. Use beyond the plan is counted, reported to the primary administrator and billed according to the rate schedule in force.
7. Your content and your information
Your documents and data remain yours. You authorize us to process them only to provide the service. The processing of personal information is described in the privacy policy.
You are responsible for having the rights and permissions needed to send the documents and use recipients’ contact details.
8. Limitation of liability
The service is provided as is, with the security and availability measures described on the site. To the extent permitted by law, Dataryx is not liable for indirect damages (loss of profits, data or business opportunities) and its total liability is limited to the amounts you paid for the service in the 12 months before the event.
Nothing in these terms excludes a liability that cannot be excluded by law, including for gross or intentional fault.
9. Termination
You may stop using MailX at any time. We may end the service with reasonable notice, or immediately in case of serious abuse. After termination, the retention rules in section 4 continue to apply.
10. Governing law
These terms are governed by the laws of Québec and the federal laws of Canada that apply there. The competent courts of Québec have exclusive jurisdiction, subject to the rights the law gives you.
11. Changes to the terms
We may change these terms. We publish the new version with its date and, for a material change, notify the primary administrator in advance. Continuing to use the service after the effective date means acceptance.
